1. GENERAL PROVISIONS
1.1 The On-line shop available at the Internet address www.rcpro.pl is operated by Robert Błędowski conducting business activity under the name INNPRO ROBERT BŁĘDOWSKI, registered in the Central Business Register and Information on Business Activity of the Republic of Poland conducted by the minister competent for economy, having: business address and address for delivery: ul. Rudzka 65c, 44-200 Rybnik, NIP 6423040197, REGON 243139422, e-mail address: kontakt@innpro.pl, telephone number: 533 234 303.
1.2 These Regulations are addressed exclusively to entrepreneurs using the Internet Shop. In the case of users who are consumers, the "Regulations for consumers - customers of the Internet Shop rcpro.pl", also available on the website of the Internet Shop, shall apply.
1.3 The Administrator of personal data processed in the Online Shop in relation to the provisions of these Regulations is the Seller. Personal data are processed for the purposes, within the scope and on the basis of the grounds and principles indicated in the privacy policy published on the website of the Internet Shop. The privacy policy contains, above all, the rules of personal data processing by the Administrator in the Internet Shop, including the basis, purposes and scope of personal data processing and the rights of data subjects, as well as information concerning the use of cookies and analytical tools in the Internet Shop. The use of the Internet Shop, including making purchases, is voluntary. Similarly, the related provision of personal data by the Customer using the Online Shop is voluntary, subject to the exceptions indicated in the Privacy Policy (conclusion of the agreement and the Seller's statutory obligations).
1.4 Definitions:
1.4.1. WORKING DAY - one day from Monday to Friday excluding public holidays.
1.4.2. REGISTRATION FORM - a form available in the Internet Shop that allows the creation of an Account.
1.4.3. ORDER FORM - Electronic Service, an interactive form available in the Internet Shop that allows the placement of an Order, in particular by adding Products to an electronic basket and determining the terms of the Sales Agreement, including the method of payment.
1.4.4. CUSTOMER - (1) a natural person with full legal capacity, for whom the use of the Website, including conclusion of Sales Agreements, is directly related to his/her business or professional activity (i.e. not being a consumer in this case); (2) a legal person; or (3) an organizational unit without legal personality, to which the law grants legal capacity; - who has concluded or intends to conclude a Sales Agreement with the Seller.
1.4.5. CIVIL CODE - the Civil Code Act of 23 April 1964. (Journal of Laws 1964 no 16, item 93 as amended).
1.4.6 ACCOUNT - Electronic Service, a set of resources in the Service Provider's data communication system marked with an individual name (login) and password provided by the Customer, in which the data provided by the Customer and information on Orders placed by him/her at the Internet Shop are stored.
1.4.7. NEWSLETTER - Electronic Service, electronic distribution service provided by the Service Provider via e-mail, which enables all Users to automatically receive from the Service Provider cyclic content of successive editions of a newsletter containing information about Products, news and promotions at the Online Store.
1.4.8. PRODUCT - a service available at the Internet Shop, which is not an Electronic Service or a movable item, which is the subject of a Sales Agreement between the Customer and the Seller.
1.4.9. RULES - these Regulations of the Internet Shop.
1.4.10. WEBSITE SHOP - Provider's online shop available at the following internet address: www.rcpro.pl.
1.4.11. SELLER; SERVICE PROVIDER - Robert Błędowski conducting business activity under the name INNPRO ROBERT BŁĘDOWSKI entered into the Central Register of Business Activity and Information of the Republic of Poland kept by the minister competent for economy, having: business address and address for service: ul. Rudzka 65c, 44-200 Rybnik, NIP 6423040197, REGON 243139422, e-mail address: kontakt@innpro.pl, telephone number: 533 234 303.
1.4.12. CONTRACT OF SALE - the contract of sale or performance of the Product concluded or entered into between the Customer and the Seller through the Online Store.
1.4.13. ELECTRONIC SERVICE - service provided electronically by the Service Provider to the Customer through the Internet Shop.
1.4.14. SERVICE PROVIDER - (1) a natural person with full legal capacity, for whom the use of the Website, including conclusion of Sales Agreements, is directly connected with their business or professional activity (i.e. not a consumer in this case); (2) a legal person; or (3) an organisational unit without legal personality, which is granted legal capacity by the Act; - using or intending to use an Electronic Service.
1.4.15. ORDER - Customer's declaration of will placed via the Order Form and aiming at concluding a Product Sales Agreement with the Seller.
2. ELECTRONIC SERVICES IN THE INTERNET SHOP
2.1 The following Electronic Services are available in the Online Shop: Account, Order Form and Newsletter.
2.1.1. Account - using an Account is possible after completing three consecutive steps by the Customer - (1) filling in the Registration Form, (2) clicking the field "Register Account" and (3) confirming the intention to create an Account by clicking on the confirmation link sent automatically to the provided e-mail address. In the Registration Form it is necessary for the Customer to provide the following data: company name, Tax Identification Number, type of invoices (domestic, intra-EU or export), address (street, house/flat number, postal code, city, country), e-mail address, contact phone number and password.
2.1.1.1 The Account Electronic Service is provided free of charge for an indefinite period of time. The Customer has the opportunity, at any time and without giving reasons, to remove the Account (resignation from the Account) by sending an appropriate request to the Service Provider, in particular via e-mail to the address: kontakt@innpro.pl or in writing to the address: ul. Rudzka 65c, 44-200 Rybnik.
2.1.2. Order Form - the use of the Order Form starts at the moment of adding by the Customer the first Product to the electronic basket in the On-line shop. The Order is placed when the Customer completes two consecutive steps in total - (1) filling in the Order Form and (2) clicking the "I'm ordering with the obligation to pay" button on the Shop's website after filling in the Order Form - Until this moment, it is possible to modify the data entered on your own (for this purpose, you should follow the messages displayed and the information available on the website of the Internet Shop). In the Order Form it is necessary for the Customer to provide the following details concerning the Customer: company name, NIP number, address (street, house/flat number, postal code, town, country), e-mail address, contact phone number and details concerning the Sales Agreement: Product/s, quantity of Product/s, place and method of delivery of Product/s, method of payment.
2.1.2.1 The Electronic Service Order Form is provided free of charge and has a one-time character and terminates at the moment of placing an Order through it or at the moment of earlier termination of placing an Order through it by the Customer.
2.1.3. Newsletter - to subscribe to the Newsletter the Customer shall indicate his/her e-mail address in the "Newsletter" tab visible on the Online Shop website, to which subsequent editions of the Newsletter are to be sent, and shall click the "Sign up" box. It is also possible to subscribe to the Newsletter by ticking the appropriate checkbox when creating an Account - the moment the Account is created the Customer shall be subscribed to the Newsletter.
2.1.3.1 The Newsletter Electronic Service shall be free of charge for an indefinite period of time. The Customer has the opportunity to unsubscribe from the Newsletter (Newsletter unsubscribe) at any time and without giving reasons, by sending an appropriate request to the Service Provider, in particular via email to the address: kontakt@innpro.pl or in writing to the address: ul. Rudzka 65c, 44-200 Rybnik.
2.2 Technical requirements necessary for the cooperation with the tele-information system used by the Service Provider: (1) computer, laptop or other multimedia device with access to the Internet; (2) access to electronic mail; (3) web browser: Mozilla Firefox version 17.0 and higher or Internet Explorer version 10.0 and higher, Opera version 12.0 and higher, Google Chrome version 23.0. and higher, Safari version 5.0 and higher, Microsoft Edge version 25.10586.0.0 and higher; (4) recommended minimum screen resolution: 1024x768; (5) enabling Cookies and Javascript in the web browser.
2.3 The Customer is obliged to use the Online Shop in a manner consistent with the law and good practice with respect to personal rights and copyrights and intellectual property of the Service Provider and third parties. The recipient is obliged to enter data consistent with the facts. The recipient is obliged to prohibit the submission of unlawful content.
2.4 Procedure for handling complaints:
2.4.1. Complaints related to the provision of Electronic Services by the Service Provider and other complaints related to the operation of the Online Shop, the Customer may submit:
2.4.2. in an electronic form via electronic mail through the application platform.
2.4.3 The Customer is advised to provide in the description of the complaint: (1) information and circumstances concerning the subject matter of the complaint, in particular the type and date of the irregularity; (2) the Client's request; and (3) contact details of the complainant - this will facilitate and expedite the processing of the complaint by the Service Provider. The requirements specified in the preceding sentence are in the form of a recommendation only and do not affect the effectiveness of complaints submitted without the recommended description of the complaint.
2.4.4 The Service Provider shall respond to the complaint immediately, no later than within 14 calendar days from the date of submission.
3. CONDITIONS OF CONCLUDING A SALES AGREEMENT
3.1 The conclusion of the Sales Agreement between the Customer and the Seller takes place after placing an Order by the Customer with the help of the Order Form in the Online Shop according to point 2.1.2 of the Terms and Conditions.
3.2 The Product price displayed on the website of the Online Shop is given in Polish zloty and includes taxes. About the total price including taxes of the Product being the subject of the Order, as well as about the costs of delivery (including transport and delivery charges) and about other costs, and if the amount of these charges cannot be determined - about the obligation to pay them, the Customer is informed on the pages of the On-line Shop in the course of placing the Order, including also at the moment of expressing by the Customer the will to be bound by the Sales Agreement.
3.3 Procedure of concluding a Sales Agreement in the Internet Shop by means of the Order Form
3.3.1. The conclusion of the Sales Agreement between the Customer and the Seller takes place after placing an Order by the Customer at the Internet Shop according to point 2.1.2 of the Regulations.
3.3.2. After placing an Order the Seller will confirm by email within 3 days that he has accepted the order. The contract is concluded only at the moment when the Seller confirms that he has accepted the order and proceeded to fulfil it. The moment the Customer receives the above mentioned email, the Sales Agreement between the Customer and the Seller is concluded.
3.4 The consolidation, protection and making the content of the concluded Sales Agreement accessible to the Customer takes place by (1) making these Regulations available on the website of the Internet Shop and (2) sending the Customer the e-mail message referred to in point 3.3.2. of these Regulations. The content of the Sales Agreement is additionally recorded and secured in the IT system of the Seller's Internet Shop.
4. METHODS AND TERMS OF PAYMENT FOR THE PRODUCT
4.1 The Seller shall make the following methods of payment for the Sales Agreement available to the Customer :
4.1.1. Payment in cash upon personal collection.
4.1.2. Payment by bank transfer to the bank account of the Seller.
4.1.3 The Seller may, for a Customer who is not a consumer, establish by a separate agreement a trade credit with an individually indicated maximum level of the Customer's debt and payment term.
4.2. Payment term:
4.2.1. If the Customer chooses to pay by bank transfer, the Customer is obliged to make payment within 7 calendar days from the date of conclusion of the Sales Agreement.
4.2.2. In case of choosing the payment in cash upon personal collection by the Customer, the Customer is obliged to make the payment upon collection of the parcel.
4.2.3. In case when on the basis of separate arrangements the Seller granted the Customer a trade credit, the Customer shall be obliged to make the payment within the term indicated in relevant arrangements concerning the trade credit.
5. COST, WAYS AND TERM OF PRODUCT DELIVERY
5.1 The Product delivery to the Customer is chargeable, unless the Sales Agreement states otherwise. The Product delivery costs (including transport, delivery and postal fees) are indicated to the Customer on the pages of the On-line Shop in the information tab concerning delivery costs and during the Order placement, including also at the moment of expressing the Customer's will to be bound by the Sales Agreement.
5.2 Personal collection of the Product by the Customer is free of charge.
5.3 The Seller makes the following methods of delivery or collection of the Product available to the Customer:
5.3.1. Courier delivery.
5.3.2. Pallet consignment.
5.3.3. Personal collection available at the address: ul. Rudzka 65c, 44-200 Rybnik - on Working Days, from 8:00 a.m. to 4:00 p.m.
5.4 The deadline for delivery of the Product to the Customer is each time indicated in an approximate manner to the Customer when placing an Order. The start of the period for delivery of the Product to the Customer is calculated as follows:
5.4.1. In the case of choosing the method of payment by transfer by the Customer - from the date of crediting the bank account or settlement account of the Seller.
5.4.2. If the Sales Agreement is covered by the trade credit, referred to in point. 4.1.3 of the Terms - from the date of conclusion of the Sales Agreement.
5.5 The Product readiness for collection by the Customer - is each time indicated in an approximate manner to the Customer when placing an Order. The Product readiness for collection will be additionally communicated to the Customer by the Seller. The start of the period when the Product is ready for collection by the Customer is calculated as follows:
5.5.1. If the Customer chooses to pay by bank transfer - from the date of crediting the Seller's bank account or settlement account.
5.5.2 In case of choosing the cash on delivery method by the Customer - from the date of the Sales Agreement conclusion.
5.5.3 In case when a Sales Agreement is covered by a trade credit, referred to in item 4.1.3 of the Terms - from the date of conclusion of the Sales Agreement.
6. PRODUCT COMPLAINT
6.1 In accordance with Article 558 § 1 of the Civil Code, the Seller's liability under warranty for the Product towards the Customer is excluded.
7. ADDITIONAL PROVISIONS
7.1 The Seller shall have the right to withdraw from the Sales Agreement concluded with the Customer who is not a consumer within 14 calendar days from the date of its conclusion. The withdrawal from the Sales Agreement in this case can be made without giving any reason and does not give rise to any claims against the Seller by the Customer who is not a consumer.
7.2 The Seller shall have the right to limit the available payment methods, including the requirement to make a full or partial prepayment, regardless of the payment method chosen by the Customer and the fact of concluding a Sales Agreement.
7.3 At the moment of handing over the Product by the Seller to the carrier, the benefits and burdens associated with the Product as well as the danger of accidental loss or damage to the Product shall pass to the Customer who is not a consumer. In this case, the Seller is not responsible for the loss, diminution or damage to the Product arising from its adoption for transportation until its release to the Customer and for the delay in transportation of the consignment.
7.4 If the Product is sent to the Customer by a carrier, the Customer who is not a consumer is obliged to examine the consignment at the time and in the manner usual for consignments of this type. If he finds that during transport there was a defect or damage to the Product, he is obliged to perform all actions necessary to determine the liability of the carrier.
7.5 In the case of Clients who are not consumers, the Service Provider may terminate the contract for the provision of Electronic Services with immediate effect and without giving reasons by sending a relevant statement to the Client.
7.6 The Service Provider's/Seller's liability to the Service Recipient/Client, regardless of its legal basis, shall be limited - both for a single claim and for all claims in total - to the amount of the price paid and delivery costs under the Sales Agreement, but not more than five hundred PLN. The Service Provider/Seller is liable to the Service Recipient/Client only for typical damage foreseeable at the time of concluding the agreement and is not liable for lost profits to the Service Recipient/Client.
7.7 In case of failure to collect the parcel by the Customer, the Seller has the right to charge the Customer with a contractual penalty of 150 PLN.
7.8 Any disputes arising between the Seller / Service Provider and the Customer / Service Recipient will be submitted to the competent court for the seat of the Seller / Service Provider.
8. FINAL PROVISIONS
8.1 Contracts concluded through the Online Shop are concluded in the Polish language.
8.2 Change of Terms and Conditions:
8.2.1 The Service Provider reserves the right to amend the Regulations.
8.2.2 In the case of conclusion of contracts other than continuous contracts (e.g. Sales Contract) under these Terms and Conditions, the changes to the Terms and Conditions shall in no way affect the rights acquired by the Service Recipients/Clients before the effective date of the changes to the Terms and Conditions, in particular the changes to the Terms and Conditions shall not affect the already placed or submitted Orders and concluded, executed or performed Sales Contracts.
8.3 Matters not regulated by these Terms shall be governed by generally applicable provisions of Polish law, in particular: Civil Code; Act on rendering electronic services of 18 July 2002. (Journal of Laws 2002 No. 144, item 1204 as amended) and other relevant provisions of commonly binding law.
